CONSTITUTION OF STOW SOCCER CLUB, INC. (revised 2008)

I. STOW SOCCER CLUB, INC.

The organization shall be known as the Stow Soccer Club, Inc. hereafter referred as theSSC. The SSC will be an affiliated soccer club and will join the Massachusetts Youth Soccer Association each year to maintain that affiliation.

II. OBJECTIVE:

The objective of the SSC is to develop and promote a fun, exciting, and educational soccer program within the town of Stow. This will be accomplished through programs
designed to educate players, referees, coaches, and parents about the sport of soccer and develop technically well versed players. They shall be designed to develop individual
skills and techniques, fitness and conditioning,teamwork and tactics, and fair play and sportsmanship.

III. DESCRIPTION AND GOVERNING BODY

SSC will be responsible for setting policy objectives, providing for game and field scheduling, game rules, officials, equipment, recruitment and training of coaches and
organization. The governing body of SSC will be the Board of Directors, hereafter referred to as the Board, which shall consist of ten members, presently consisting of the following:
  • President, David Stepp
  • Vice President, Jennifer Hill
  • Treasurer, Eric Kerble
  • Registrar,  Sarah Skoletsky
  • Secretary/Clerk, Joy McNulty
 
The above shall be elected at the Public Board Meeting held in June.
  • Boys Director, Jim Henry
  • Girls Director, Mark Wright
  • U8 Director, Martha Streeter
  • U7 Director, Greg Porter
  • Munchkin/Transition Director, Greg Hoff

All Directors will not be elected but will be appointed by the President. All appointed directors shall be approved by a majority Board vote. From time to time there will also be non-vo
ting positions deemed necessary by the Board and appointed by the President, subject to Board approval by majority vote. Examples of these positions are listed, but not limited to, below:
  • Communications Coordinator
  • Education Coordinator
  • Equipment Manager
  • Web Site Manager
  • Events Coordinator
  • Referee Coordinator
  • Indoor Coordinator

IV. OFFICERS – TERM OF OFFICE

Officers shall hold office for a one year term, and are eligible for re-election.

V. BOARD OF DIRECTORS

All matters of policy shall be decided by a simple majority vote, except as noted in the Financial Policy. A majority of the current active board members shall constitute a
quorum.

VI. NOTICE OF MEETINGS

The club shall hold a general public Board meeting to vote the Board of Directors, President, Vice-President, Treasurer/Registrar, and Clerk. It shall be held at the Annual
Public Board meeting in June. Voting members shall be parents or legal guardians of any player registered during the cu rrent year, coaches, assistant coaches, and Board members,
whether or not they have children enrolled in the SSC.

VII. DUTIES AND RESPONSIBILITIES

The duties and responsibilities of the member s of the Board shall be as follows:

A. President

The President shall officially preside at all meetings; shall be chairman of the Board; be the official representative of the SSC; be authorized to sign checks; vote only to break a
tie at the Board meetings.

B. Vice President

The Vice President shall succeed to the office and powers of the President in his/her absence, or for the remainder of his/her term if vacated for any reason. In the event of
such vacancy, the Board shall elect a successor to the Post of Vice President. Shall be authorized to sign checks; be responsible for inventory and equipment purchases; shall be
the Chairman of the Match Protest Committee; shall resolve the other grievances as described in the By-Laws.

C. Secretary/Clerk

The Clerk shall attend all correspondence for all the SSC, keep detailed minutes of all Board and general meetings, keep record
s as necessary, be responsible for public relations and correspond on behalf of the SSC only with the knowledge and permission of
the President.

D. Treasurer

The Treasurer shall have charge of the finances of SSC. He/she shall report on the finances at all Board meetings, and shall submit and distribute a full written report of the financial transactions and the status of the finances at the Annual Club Meeting. He/She shall be authorized to sign checks.

E. Registrar

The Registrar shall be responsible for managing all registrations and validating team
rosters.

F. Membership

Membership in the SSC shall be open to all.
 

VIII. CONDUCT

The Board shall have the authority to suspend any individual member or club of Stow Soccer whose conduct is considered detrimental to the SSC.

IX. FINANCIAL POLICY

A. Fiscal Year

The fiscal year will be from July 1st to June 30th. This will coincide with the soccer year.

B. Budget

A balanced budget for the forthcoming year shall be prepared by the Treasurer and approved by the Board before the fiscal year.

C. Major Expenses

Major non-budgeted expenses over $250 from any individual or corporation shall require approval by a majority of the Board.

D. Bank Account

All monies shall be promptly deposited in either a saving or a checking account under Stow Soccer Club or the initials of SSC.

E. Expenses

Bills shall be paid when due. Checks shall be signed by any of the three authorized signers.

F. Expenditures

Funds shall be spent only in the interest of SSC.

X. DISPOSITION OF FUNDS

Should the SSC be dissolved, all funds currently in the treasury will be donated to a recognized 501 C (3) organization.

XI. OTHER MATTERS

The board shall have the power to deal with any matters not explicitly covered by the ByLaws.

XII. MODIFICATIONS TO THE CONSTITUTION

This Constitution, or any section thereof, may be amended by a two-thirds vote of the members present at the Annual Public Board meeting. Written notice or any proposed
changes shall be made to each member of the Board and each member of the SSC at least two weeks prior to the meeting at which such proposed changes shall be submitted to
vote.

XIII. MODIFICATIONS TOTHE BYLAWS AND EXCEPTIONS TO THE RULES OF PLAY

The ByLaws and Exceptions to the Rules of Play, or any section thereof, maybe amended by a simple majority vote of the Board members present at a Board meeting. In addition, changes may be proposed by the membership at the Annual Public Board meeting and approved by a simple majority ofthe voting members present.

XIV. ADOPTION OF THE CONSITITUTION

This constitution was approved by the Members of SSC at the Annual Public meeting on June 11, 2003.
